ConnectorIQ Terms of Service (Clients)
Effective date: [EFFECTIVE DATE]
These Terms of Service ("Terms") apply when you use ConnectorIQ as a client. ConnectorIQ is operated by [LEGAL ENTITY] ("ConnectorIQ," "we," "us"). By creating a client account or using the platform, you agree to these Terms and to the ConnectorIQ Client Agreement. If these Terms and the Client Agreement conflict, the Client Agreement controls.
1. What ConnectorIQ does
ConnectorIQ is a matchmaker. We find, screen, and introduce software developers to you. That is all we do.
- We are not the developer's employer, staffing agency, or employer of record.
- We do not pay the developer, run payroll, withhold taxes, or provide benefits.
- You and the developer agree on the work, the rate, and the terms between yourselves.
- You pay the developer directly. ConnectorIQ never handles payments between you and the developer.
2. Who can use ConnectorIQ as a client
ConnectorIQ is available only to clients located in the United States. All prices and payments are in US dollars (USD). You must be at least 18 and able to enter a binding contract. If you sign up for a company, you confirm you are authorized to bind it.
3. How it works
- You tell us what you need.
- We show you developer profiles. Before payment, profiles do not include the developer's contact details or identifying information such as surname, email, phone, current employer, or GitHub or LinkedIn links.
- Interviews are free. You can interview developers before you pay, using interview links generated by the platform. Please use only those links.
- When you decide to hire, you pay the placement fee.
- After payment, the developer's contact details are unlocked for you.
4. Fee
- Flat fee of $1,800 USD, one time, per hire.
- There is no monthly markup and no ongoing percentage of the developer's pay.
- The fee is charged when you hire, before contact details are unlocked.
- Payments are processed by Stripe.
[[OPEN]]Confirm whether any taxes apply to the fee.
5. 30-day replacement guarantee
- When you hire, you set the developer's start date. If you never confirm a start date, the start date is treated as the hire date plus 14 days.
- If the developer you hired stops working with you within 30 days after the start date, you may ask for a replacement. We will introduce new candidates, and you can hire one of them without paying another fee.
[[OPEN]]Confirm whether any exclusions apply (for example, if the client ends the engagement for reasons unrelated to the developer). - One replacement per hire.
- No cash refunds. The replacement is the only remedy under this guarantee. The fee is not refundable in cash for any reason, except where the law requires otherwise.
- To use the guarantee, you must ask for a replacement within the 30-day window by writing to hello@connectoriq.com.
[[OPEN]]Confirm the request method and any deadline.
6. Contact before payment and non-circumvention
You agree not to ask for, accept, or use a developer's contact details before the platform unlocks them, and not to contact a developer outside the platform before you pay.
If you hire or engage any developer we showed you within 12 months of the first time we showed you that developer, and you have not paid, you owe $1,800 USD per developer. Our send ledger (a timestamped, append-only record of every profile we show you) is the evidence record. The full clause is in the Client Agreement, Section 7, and on the Non-Circumvention page.
7. Chargebacks and disputes
If you disagree with a charge, please contact us first at hello@connectoriq.com. If you file a chargeback with your bank or card issuer, we will treat it as a dispute under these Terms. We may respond to the chargeback with our records, including the send ledger, interview records, and the record of when contact details were unlocked. [[OPEN]] Decide whether account access is paused while a chargeback is open.
8. Your account
Keep your login secure. You are responsible for activity on your account. Give us accurate information and keep it up to date.
9. Acceptable use
Do not:
- use the platform for any unlawful or discriminatory purpose;
- copy, scrape, or resell developer profiles or other platform content;
- record or share interviews without the developer's consent where the law requires it;
- try to bypass the platform's controls on contact details; or
- interfere with the platform's security or operation.
10. Developer information and our screening
We screen developers using assessments, recorded video, AI-assisted scoring, and ID verification. Scores and profiles are information to help you decide. They are not a guarantee of any developer's performance, skills, or conduct. You make your own hiring decision and are responsible for complying with employment, contractor, and tax laws that apply to you.
11. Privacy
Our Privacy Policy explains how we handle personal information. You must handle developer personal information you receive from us lawfully and only to evaluate and work with the developer.
12. Disclaimers
The platform is provided "as is" and "as available." To the extent the law allows, we disclaim all warranties not stated in these Terms. [[OPEN]] Lawyer to draft final disclaimer language.
13. Limitation of liability
[[OPEN]] Lawyer to draft. Placeholder: our total liability to you for any claim is limited to the fees you paid us for the hire the claim relates to.
14. Indemnity
[[OPEN]] Lawyer to draft.
15. Governing law, venue, and disputes
These Terms are governed by the laws of [GOVERNING LAW STATE]. Disputes will be resolved in [VENUE]. [[OPEN]] Whether to use arbitration and a class action waiver is undecided.

ConnectorIQ Client Agreement
Effective date: [EFFECTIVE DATE]
This Client Agreement ("Agreement") is between [LEGAL ENTITY] ("ConnectorIQ," "we," "us") and the business or person that accepts it ("Client," "you"). It applies together with the ConnectorIQ Terms of Service and Privacy Policy. If they conflict, this Agreement controls.
1. Our role
1.1 ConnectorIQ is a matchmaker only. We introduce software developers ("Developers") to you.
1.2 We are not the Developer's employer, staffing agency, or employer of record. We do not supervise the Developer's work.
1.3 You and the Developer set the scope, rate, schedule, and terms of the work between yourselves. You pay the Developer directly. ConnectorIQ does not collect or pass on payments between you and the Developer.
1.4 You are responsible for deciding how to classify the Developer (for example employee or contractor) and for complying with laws that apply to that relationship.
2. Eligibility
2.1 You are located in the United States.
2.2 All fees are in US dollars (USD).
2.3 The person accepting this Agreement for a company confirms they are authorized to bind it.
3. Introductions and interviews
3.1 We show you Developer profiles. Each time we show you a profile is a "Send." We record every Send in our send ledger: a timestamped, append-only record that is never edited or deleted (the "Send Ledger").
3.2 Before payment, profiles do not include the Developer's contact details or identifying information such as surname, email, phone, current employer, or GitHub or LinkedIn links.
3.3 Interviews before payment are free. You will interview Developers only through interview links generated by the platform.
4. Fee
4.1 You pay ConnectorIQ a flat placement fee of $1,800 USD, one time, for each Developer you hire (the "Fee").
4.2 There is no monthly markup and no ongoing percentage of the Developer's pay.
4.3 The Fee is due when you choose to hire a Developer on the platform. Payment is processed by Stripe.
4.4 Contact details are unlocked only after the Fee is paid.
4.5 [[OPEN]] Taxes on the Fee, if any.
5. Start date
5.1 When you hire, you set the Developer's start date on the platform.
5.2 If you never confirm a start date, the start date is the hire date plus 14 days.
6. 30-day replacement guarantee
6.1 If the Developer you hired stops working with you within 30 days after the start date, you may request a replacement by writing to hello@connectoriq.com within that 30-day window.
6.2 We will introduce new candidates. You may hire one replacement Developer without paying another Fee.
6.3 One replacement per hire. [[OPEN]] Confirm whether the replacement hire carries its own guarantee (current draft: it does not).
6.4 No cash refunds. A replacement is the only remedy under this guarantee. The Fee is not refundable in cash, except where the law requires otherwise.
6.5 [[OPEN]] Exclusions, if any (for example, if you end the engagement for reasons unrelated to the Developer's performance or conduct).
7. Non-circumvention
7.1 Definitions. "First Send" means the earliest Send of a given Developer to you. "Hire or engage" means to employ, contract with, or otherwise use the services of a Developer, paid or unpaid, full-time or part-time, directly or through any third party (for example another agency, a staffing company, a contractor, or an affiliate). "You" includes your affiliates, owners, employees, and agents. [[OPEN]] Lawyer to confirm scope of this definition.
7.2 No contact before payment. You will not ask for, accept, or use a Developer's contact details before the platform unlocks them, and you will not contact a Developer outside the platform before paying the Fee.
7.3 The rule. If you hire or engage any Developer within 12 months after the First Send of that Developer, and you have not paid the Fee for that Developer, you owe ConnectorIQ $1,800 USD per Developer. This applies even if you met or contacted the Developer outside the platform, or the Developer contacted you first.
7.4 Evidence. The Send Ledger is the evidence record of which Developers were shown to you and when. You agree that a Send Ledger entry is evidence that the Developer was shown to you on that date. You may ask us for a copy of the Send Ledger entries for your account. [[OPEN]] Lawyer to advise on "conclusive" versus "presumptive" wording.
7.5 Payment. We will invoice any amount owed under this Section. Payment is due within [NUMBER] days of the invoice date. [[OPEN]] Whether a payment under this Section carries the replacement guarantee.
7.6 Other remedies. This Section does not limit any other right we have. [[OPEN]] Interest, collection costs, and attorney fees.
7.7 Survival. This Section survives for 12 months after the last Send to you, even if this Agreement ends.
8. Chargebacks and disputes
8.1 If you disagree with a charge, contact hello@connectoriq.com first.
8.2 A chargeback filed with your bank or card issuer is treated as a dispute under this Agreement. We may respond to it with our records, including the Send Ledger, interview records, and the record of when contact details were unlocked.
8.3 If a chargeback reverses a Fee for a Developer you hired or engaged, the amount remains owed under Section 4 or Section 7.
9. Developer information
9.1 You will use Developer personal information only to evaluate and work with that Developer, and you will protect it as required by law.
9.2 You will not share Developer profiles, videos, scores, or assessments with anyone outside your organization.
9.3 Profiles, scores, and assessments help you decide. They are not a guarantee of any Developer's performance, skills, or conduct. Your hiring decision is your own.
10. Term and termination
10.1 This Agreement starts when you accept it and continues until either party closes your account.
10.2 Sections 4 (for Fees already owed), 7, 8, 9, 11, and 12 survive termination.
11. Liability
[[OPEN]] Lawyer to draft disclaimer, limitation of liability, and indemnity.
12. Governing law and disputes
12.1 This Agreement is governed by the laws of [GOVERNING LAW STATE].
12.2 Disputes will be resolved in [VENUE].
12.3 [[OPEN]] Arbitration and class action waiver: undecided.
13. General
13.1 Notices to ConnectorIQ go to hello@connectoriq.com and [MAILING ADDRESS]. Notices to you go to the email on your account.
13.2 We may update this Agreement with notice. The version in effect when you hired a Developer applies to that hire.
13.3 If any part of this Agreement is unenforceable, the rest stays in effect.
13.4 This Agreement, the Terms of Service, and the Privacy Policy are the entire agreement between us on this subject.
